Simple Stock Sync Terms & Conditions

These Terms and Conditions (“Terms”) govern your use of Simple Stock Sync (“the App”), developed and operated by Ian Phillips, trading as Precision Tools & Tooling, Australia (“we”, “us”, “our”).

By installing or using the App, you agree to these Terms. If you do not agree, do not install or use the App.

1. Description of the App

Simple Stock Sync is a Shopify application that synchronises inventory quantities between your Shopify store and your Xero account. The App operates in one direction only (either Shopify → Xero or Xero → Shopify) as configured by you. The App does not sync prices, product details, customer data, or financial records.

2. Eligibility

To use the App you must:

  • Have an active Shopify store
  • Have an active Xero account
  • Have the authority to connect both accounts and grant the App the required permissions
  • Comply with Shopify’s and Xero’s respective terms of service

3. Your Responsibilities

You are responsible for:

  • Ensuring SKUs in Shopify match Product Codes in Xero exactly before enabling sync
  • Configuring the correct sync direction for your business
  • Verifying inventory data after initial setup
  • Maintaining accurate product data in both Shopify and Xero
  • Any consequences arising from incorrect configuration or data mismatches

We strongly recommend testing the App with a small number of products before enabling it across your full catalogue.

4. Acceptable Use

You agree not to:

  • Use the App for any unlawful purpose
  • Attempt to reverse engineer, modify, or tamper with the App
  • Use the App in a way that could damage, disable, or impair Shopify or Xero services
  • Resell or sublicense access to the App

5. Limitation of Liability

To the maximum extent permitted by Australian law:

  • The App is provided “as is” without warranty of any kind, express or implied
  • We do not guarantee that the App will be error-free, uninterrupted, or that sync operations will always complete successfully
  • We are not liable for any loss of data, inventory discrepancies, lost sales, business interruption, or any indirect or consequential loss arising from your use of the App
  • Our total liability to you for any claim arising from use of the App shall not exceed the amount you paid for the App in the 3 months preceding the claim

6. Indemnification

You agree to indemnify and hold harmless Ian Phillips and Precision Tools & Tooling from any claims, damages, losses, or expenses (including legal fees) arising from your use of the App, your breach of these Terms, or your violation of any third-party rights.

7. Third-Party Services

The App integrates with Shopify and Xero. Your use of those platforms is governed by their respective terms of service and privacy policies. We are not responsible for any changes to their APIs, access restrictions, or service interruptions that affect the App’s functionality.

8. App Availability and Changes

We reserve the right to:

  • Modify, suspend, or discontinue the App at any time with reasonable notice where possible
  • Update these Terms at any time — continued use of the App after changes constitutes acceptance
  • Change pricing with reasonable advance notice

9. Termination

You may stop using the App at any time by uninstalling it from your Shopify store. We may suspend or terminate your access if you breach these Terms. Upon termination, your data will be handled in accordance with our Privacy Policy.

10. Governing Law

These Terms are governed by the laws of Queensland, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia.

11. Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) that cannot be excluded, restricted, or modified by agreement.
